Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Equmenopolis Inc. ("Equmenopolis," "we," "us," or "our"), a Japanese company headquartered at 2-4-1 Kojimachi, Chiyoda-ku, Tokyo 102-0083, Japan. By accessing the Equmenopolis website at equ-ai.com, registering for an account, or using the Equmenopolis API or platform services (collectively, the "Service"), you agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such case, "you" and "your" refer to that entity.

If you do not agree to these Terms, do not access or use the Service. Continued use of the Service after any modification to these Terms constitutes acceptance of the modified Terms.

2. Description of Service

Equmenopolis provides a conversational AI platform and API service that enables developers and organizations to build multi-turn dialogue applications with context-aware natural language processing capabilities. The Service includes:

Equmenopolis reserves the right to modify, add, or remove features of the Service at any time. Material changes affecting paid features will be communicated to customers with at least 30 days advance notice. Emergency security or infrastructure changes may be deployed without advance notice.

3. Account Registration

3.1 Account Creation

To access the Service beyond the public documentation, you must register for an account by providing a valid email address and creating a password. You may also register using supported OAuth providers (currently GitHub and Google). Account registration is available to individuals 18 years of age or older and to legal entities.

3.2 Account Security

You are responsible for maintaining the security of your account credentials and API keys. Do not share your API keys with third parties or embed them in publicly accessible code repositories. Equmenopolis provides API key rotation tools in the account dashboard; you should rotate keys promptly if you believe they have been compromised.

You are responsible for all activities that occur under your account, whether or not authorized by you. Notify Equmenopolis immediately at hello@equ-ai.com if you suspect unauthorized access to your account.

3.3 Account Accuracy

You agree to provide accurate and complete registration information and to keep that information current. Equmenopolis may suspend or terminate accounts registered with false or misleading information.

4. Subscription Plans and Payment

4.1 Subscription Plans

Equmenopolis offers the following subscription tiers (current pricing is listed on the Pricing page at equ-ai.com/pricing.html):

4.2 Billing and Payment

All paid subscriptions are billed in US Dollars (USD). Startup and Business plans are billed in advance on a monthly or annual basis. Annual subscriptions receive a discount compared to monthly billing; the annual discount percentage is displayed on the Pricing page.

Payment is processed by Stripe. By providing payment information, you authorize Equmenopolis to charge the payment method on file at each billing cycle. If a payment fails, Equmenopolis will attempt to retry the charge up to three times over a 7-day period. If payment is not collected after retries, the account will be downgraded to the Developer plan and any features not available on the Developer plan will be suspended.

Overage charges (dialogue turns consumed beyond the plan limit) are billed at the per-turn overage rate specified in the plan. Overage charges are invoiced at the end of the billing cycle in which they were incurred.

4.3 Refund Policy

Monthly subscriptions: Fees paid for the current billing month are non-refundable. Cancellation takes effect at the end of the current billing period; no prorated refund is issued for unused days.

Annual subscriptions: Fees paid for an annual subscription are non-refundable after the first 30 days. Cancellation within the first 30 days of an annual subscription is eligible for a prorated refund for the unused months, calculated from the date of cancellation notice. After 30 days, no refund is issued for the remaining term.

Exceptions: Equmenopolis will issue a refund in the event of a service outage exceeding 24 continuous hours that is attributable to Equmenopolis infrastructure failure, limited to the prorated value of downtime on the affected subscription. This exception does not apply to outages caused by third-party infrastructure providers, force majeure events, or customer-side configuration errors.

4.4 Price Changes

Equmenopolis reserves the right to change subscription prices. Price changes affecting existing subscribers will be communicated with at least 60 days advance notice via email to the account email address. Price changes apply to renewal billing cycles following the notice period. If you do not agree to a price change, you may cancel before the change takes effect.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service to: build and operate task-oriented dialogue applications, process dialogue sessions on behalf of your end users, access analytics data for your account's usage, and develop integrations using the published API documentation.

You may not use the Service to:

Equmenopolis reserves the right to suspend or terminate any account that violates this Acceptable Use Policy, without advance notice where immediate suspension is necessary to protect the Service or other customers.

6. Intellectual Property

6.1 Equmenopolis IP

The Equmenopolis platform, including the software, models, algorithms, API design, documentation, and all related intellectual property, is owned by Equmenopolis Inc. and protected by copyright, patent, trade secret, and other applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. No ownership rights are transferred to you.

6.2 Customer Content

You retain all ownership rights to data you send to or through the Service, including dialogue turn content, entity schemas, and custom model training data. By submitting data to the Service, you grant Equmenopolis a limited license to process that data for the sole purpose of delivering the Service as described in these Terms. Equmenopolis does not claim ownership of your data and does not use your data to benefit other customers.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Equmenopolis a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation. You are not obligated to provide feedback.

7. Confidentiality

Each party agrees to keep confidential the other party's Confidential Information and not to disclose it to third parties without prior written consent, except to employees or contractors who need to know it to perform obligations under these Terms and who are bound by confidentiality obligations at least as protective as those in these Terms.

"Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Confidential Information does not include information that: is or becomes generally available to the public through no breach of these Terms; was known to the receiving party before disclosure; is rightfully obtained from a third party without restriction; or is required to be disclosed by law or legal process (with reasonable prior notice to the disclosing party where permitted).

8. Data Processing

Equmenopolis processes personal data on behalf of API customers in accordance with the Data Processing Agreement (DPA) incorporated by reference into these Terms for paid subscription customers. The DPA governs the technical and organizational measures Equmenopolis implements to protect personal data, the sub-processors used, and the procedures for responding to data subjects' requests.

Developer plan customers are not covered by the DPA by default. Developer plan use is intended for testing with synthetic or non-personal data. If you need to process personal data on the Developer plan, contact us at hello@equ-ai.com to discuss coverage options.

9. Service Level Agreement

Equmenopolis targets 99.5% monthly API availability for Business and Enterprise plans, measured as the percentage of minutes in a calendar month during which the API is accepting and processing requests. Developer and Startup plans are provided on a best-effort basis without an availability guarantee.

Planned maintenance windows are announced at least 48 hours in advance and excluded from availability calculations. Outages caused by customer-side errors, third-party infrastructure failures, or force majeure events are excluded from availability calculations.

Service credits for Business plan availability failures below 99.5% are calculated as: (1 - actual availability / 99.5%) x monthly subscription fee, capped at 25% of the monthly fee. Credits are applied to the following month's invoice. Credits are the sole remedy for availability failures.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Equmenopolis DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Equmenopolis DOES NOT WARRANT THE ACCURACY OF NLU MODEL OUTPUTS, INTENT CLASSIFICATIONS, OR ENTITY EXTRACTIONS. YOU ARE RESPONSIBLE FOR VALIDATING THAT SERVICE OUTPUTS ARE APPROPRIATE FOR YOUR USE CASE BEFORE DEPLOYING IN PRODUCTION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Equmenopolis'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO Equmenopolis IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) USD $100.

IN NO EVENT SHALL Equmenopolis BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Equmenopolis Inc., its officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your application or product built on the Service; (c) your violation of any applicable law or regulation; or (d) your infringement of any third party's intellectual property rights.

13. Termination

13.1 By You

You may cancel your account at any time through the account settings. Cancellation terminates access to the Service at the end of the current billing period for paid plans. Data deletion upon cancellation follows the retention policies described in the Privacy Policy.

13.2 By Equmenopolis

Equmenopolis may suspend or terminate your account: immediately upon material breach of these Terms that is not cured within 10 business days of written notice; immediately for Acceptable Use Policy violations that pose immediate risk; with 30 days advance notice for any other reason; or with 90 days advance notice in the event Equmenopolis discontinues the Service.

13.3 Effect of Termination

Upon termination, your license to use the Service ceases immediately. Equmenopolis will delete your context data and account data in accordance with the retention policies in the Privacy Policy. Sections 6, 7, 10, 11, 12, and 14 of these Terms survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Japan, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction in those courts.

Notwithstanding the above, Equmenopolis may seek injunctive or equitable relief in any court of competent jurisdiction to prevent unauthorized use of intellectual property or breach of confidentiality obligations.

For Enterprise customers, the governing law and dispute resolution provisions in the applicable Enterprise agreement supersede this section.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any applicable DPA or Enterprise Agreement, constitute the entire agreement between you and Equmenopolis with respect to the Service and supersede all prior negotiations, understandings, or agreements.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15.3 No Waiver

Failure by Equmenopolis to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without Equmenopolis's prior written consent. Equmenopolis may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to you.

15.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including natural disasters, acts of government, infrastructure outages by major cloud providers, or pandemic conditions.
